1. Introduction
This Liability Waiver and Disclaimer ("Disclaimer") governs your use of the FieldCore platform ("Platform") operated by 2616232 Alberta Inc. ("Company," "we," "us," or "our"), a corporation registered under the laws of the Province of Alberta, Canada. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by the terms set forth herein.
2. Nature of Services
FieldCore is an industrial field service management platform that facilitates QR-code-based work order tracking, scan logging, invoicing, photo documentation, and GPS-enabled location recording. The Platform is a digital tool designed to assist with operational coordination and is not a substitute for professional judgment, on-site safety assessments, or regulatory compliance by qualified personnel.
3. No Professional Advice
Information, recommendations, or outputs generated through the Platform, including but not limited to work order descriptions, technician notes, or service suggestions, do not constitute professional engineering, safety, legal, or any other form of certified advice. Users must independently verify all information and exercise their own professional judgment before acting on any Platform-generated content.
4. Limitation of Liability
To the maximum extent permitted under the laws of the Province of Alberta and applicable Canadian federal law:
- No liability for field outcomes. The Company shall not be liable for any injury, property damage, equipment failure, environmental incident, or any other loss arising from work performed based on information displayed, tracked, or managed through the Platform.
- No warranty of accuracy. While we make reasonable efforts to ensure the accuracy of GPS data, scan timestamps, and work order records, we do not warrant that such data is error-free, complete, or current at all times. GPS accuracy depends on device hardware, environmental conditions, and satellite availability.
- Service interruptions. We are not liable for any losses resulting from Platform downtime, data synchronization delays, connectivity failures, or any interruption of service regardless of cause.
- Aggregate liability cap. In no event shall the Company's total aggregate liability to any user exceed the lesser of (a) the fees paid by the user in the twelve (12) months preceding the claim, or (b) one thousand Canadian dollars (CAD $1,000).
5. Exclusion of Consequential Damages
Under no circumstances shall the Company be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, even if the Company has been advised of the possibility of such damages.
6. Assumption of Risk
Users acknowledge that field service work inherently involves risks including but not limited to hazardous working conditions, extreme temperatures, heavy equipment operation, electrical hazards, and environmental exposure. By using the Platform to coordinate or track such work, users accept all associated risks and agree that the Company bears no responsibility for on-site conditions, safety protocols, or work outcomes.
7. Indemnification
You agree to indemnify, defend, and hold harmless 2616232 Alberta Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of this Disclaimer or any applicable law; (c) any work performed using information obtained through the Platform; or (d) any content you upload, transmit, or otherwise make available through the Platform.
8. Third-Party Services
The Platform may integrate with or link to third-party services, APIs, or content. The Company does not endorse, control, or assume any responsibility for third-party services, and your use of such services is governed by their respective terms and policies.
9. Governing Law
This Disclaimer shall be governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada. Any disputes arising under or related to this Disclaimer shall be subject to the exclusive jurisdiction of the courts of Alberta.
Terms and Conditions
1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and 2616232 Alberta Inc. ("Company," "we," "us," or "our") governing your access to and use of the FieldCore platform, including all associated applications, APIs, and services (collectively, the "Platform"). By creating an account, scanning a QR code, or otherwise accessing the Platform, you agree to these Terms in their entirety.
2. Eligibility
You must be at least eighteen (18) years of age and possess the legal capacity to enter into binding agreements under the laws of your jurisdiction. If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Access Tiers and Accounts
The Platform operates under four distinct access tiers, each with specific permissions and responsibilities:

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must notify us immediately of any unauthorized use.
4. QR Code Scanning and Location Data
When a QR code associated with the Platform is scanned, the Platform may collect the GPS coordinates of the scanning device, device metadata, and the timestamp of the scan. By scanning a FieldCore QR code, you consent to this data collection. See our Privacy Policy for full details on data handling.
5. Billing, Invoicing, and Payment Terms
5.1 Invoice Generation
Invoices are generated through the Platform based on completed work orders, time logs, materials used, and other billable items as configured by Managers. All amounts are quoted in Canadian Dollars (CAD) unless otherwise specified.
5.2 Payment Terms
Unless otherwise agreed in writing, all invoices are due and payable within thirty (30) days of the invoice date ("Net 30"). Payment may be made by any method accepted through the Platform.
5.3 Late Payments
Overdue invoices may be subject to a late payment charge of 1.5% per month (18% per annum) on the outstanding balance, or the maximum rate permitted under applicable Alberta law, whichever is less. The Company reserves the right to suspend Platform access for accounts with invoices overdue by more than sixty (60) days.
5.4 Disputes
Invoice disputes must be raised in writing within fifteen (15) days of the invoice date. Undisputed portions remain payable according to standard terms. The Company will make reasonable efforts to resolve disputes promptly.
6. Intellectual Property
6.1 Company IP
The Platform, including its design, source code, algorithms, user interface, documentation, logos, trademarks, and all related intellectual property, is the exclusive property of 2616232 Alberta Inc. and is protected under Canadian copyright, trademark, and intellectual property laws. No license or right is granted to you except the limited right to use the Platform in accordance with these Terms.
6.2 User Content
You retain ownership of content you upload to the Platform (photos, notes, documents). However, by uploading content, you grant the Company a non-exclusive, royalty-free, worldwide license to use, store, reproduce, and display such content solely for the purpose of providing and improving the Platform services.
6.3 Restrictions
You shall not: (a) reverse-engineer, decompile, or disassemble any part of the Platform; (b) copy, modify, or create derivative works from the Platform; (c) use data mining, scraping, or automated tools to extract data from the Platform; or (d) remove, alter, or obscure any proprietary notices on the Platform.
7. Service Availability
We strive to maintain continuous Platform availability but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or modifications at any time. We will make reasonable efforts to provide advance notice of planned downtime when feasible.
8. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination: (a) your right to use the Platform ceases immediately; (b) we may delete your account data after a reasonable retention period as described in our Privacy Policy; and (c) provisions that by their nature should survive termination (including liability limitations, indemnification, and intellectual property protections) shall remain in effect.
9. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or email. Your continued use of the Platform after modifications constitutes acceptance of the revised Terms. If you disagree with any changes, you must discontinue use of the Platform.
10. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
11. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and Liability Waiver, constitute the entire agreement between you and the Company regarding the Platform, superseding any prior agreements, communications, or understandings.

Privacy Policy
1. Overview
This Privacy Policy describes how 2616232 Alberta Inc. ("Company," "we," "us," or "our") collects, uses, discloses, and protects personal information through the FieldCore platform ("Platform"). We are committed to protecting your privacy in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA), the Alberta Personal Information Protection Act (PIPA), and other applicable Canadian privacy legislation.
2. Information We Collect
2.1 Information You Provide
- Account information: name, email address, phone number, organization name, role/tier assignment
- Work order data: descriptions, service notes, status updates, time logs
- Photos and documents: images uploaded as part of work orders or service records
- Billing information: invoice details, payment records, billing addresses
- Communications: messages, support requests, and other correspondence submitted through the Platform
2.2 GPS Location Data
When a FieldCore QR code is scanned, the Platform requests the GPS coordinates of the scanning device. This data is collected to:
- Verify that service was performed at the correct job site
- Provide location-stamped audit trails for work orders
- Enable map-based views for Managers monitoring field operations
- Support fleet and technician dispatch optimization
GPS data collection relies on the device's browser-based geolocation API. If the user denies the browser geolocation prompt, the scan will still be recorded but without precise location data. The Platform may fall back to IP-based approximate geolocation in such cases.
2.3 Device Fingerprint Data
When you access the Platform or scan a QR code, we automatically collect device and browser metadata, including but not limited to:

2.4 Scan Logs
Each QR code scan generates a log entry containing: the QR code identifier, timestamp, GPS coordinates (if available), device fingerprint data, and the associated work order reference. These logs are retained as part of the operational audit trail.
3. Consent
3.1 Express Consent
We obtain express consent for the collection of GPS location data through the browser geolocation permission prompt. Authenticated users provide consent when they accept these Terms during account creation.
3.2 Implied Consent
By scanning a FieldCore QR code, unauthenticated (Public tier) users provide implied consent to the collection of device fingerprint data and IP-based approximate location data, as described in this Policy. Prominent notice is displayed on the scan results page.
3.3 Withdrawing Consent
You may withdraw consent at any time by: (a) denying or revoking browser geolocation permissions; (b) contacting us in writing to request cessation of data collection; or (c) closing your account. Note that withdrawing consent may limit certain Platform functionality. Withdrawal of consent does not affect the lawfulness of processing based on consent before its withdrawal.
4. How We Use Your Information
We use collected information for the following purposes:
- Service delivery: operating, maintaining, and improving the Platform
- Work order management: tracking service requests, technician assignments, and job completion
- Billing and invoicing: generating invoices, processing payments, managing accounts
- Location verification: confirming technician presence at job sites via GPS data
- Security: detecting unauthorized access, fraud prevention, abuse mitigation
- Analytics: understanding usage patterns to improve the Platform
- Legal compliance: fulfilling legal obligations, responding to lawful requests
5. Disclosure of Information
We do not sell personal information. We may disclose personal information to:
- Service providers: third parties who assist in operating the Platform (hosting, analytics, payment processing), bound by contractual confidentiality obligations
- Clients and employers: Technician location and work order data may be visible to Managers and Clients within the same organizational context, as required for service delivery
- Legal authorities: when required by law, court order, or governmental regulation, or when necessary to protect the rights, safety, or property of the Company, its users, or the public
- Business transfers: in connection with a merger, acquisition, or sale of assets, subject to reasonable confidentiality protections
6. Data Retention
We retain personal information only as long as necessary to fulfill the purposes described in this Policy, unless a longer retention period is required by law. Specific retention periods:

Where personal information is transferred outside of Canada, we ensure that adequate protections are in place in accordance with PIPEDA requirements, including contractual obligations on service providers to maintain equivalent privacy protections.
10. Children's Privacy
The Platform is not intended for use by individuals under the age of eighteen (18). We do not knowingly collect personal information from minors. If we become aware that we have collected personal information from a person under 18, we will take steps to delete such information promptly.

This Acceptable Use Policy ("AUP") defines the permitted and prohibited uses of the FieldCore platform ("Platform") operated by 2616232 Alberta Inc. This AUP is incorporated by reference into our Terms and Conditions and applies to all users regardless of access tier.
2. Permitted Uses
The Platform is intended solely for legitimate industrial field service management activities, including:
- Creating, updating, and tracking work orders
- Scanning FieldCore QR codes for job check-in/check-out and status updates
- Uploading photos and documentation related to service work
- Managing invoices, billing, and client accounts
- Viewing scan logs, technician locations, and operational dashboards
- Communicating with team members and clients through Platform features
3. Prohibited Conduct
You agree not to use the Platform to:
- Unauthorized access: attempt to access accounts, data, or Platform features beyond your assigned access tier, or bypass any authentication or security measures
- Data misuse: collect, harvest, scrape, or mine data from the Platform for purposes unrelated to authorized field service operations
- GPS spoofing: falsify, manipulate, or spoof GPS location data or device fingerprint information
- Fraudulent activity: submit false work orders, fabricate scan records, inflate billable hours, or engage in any form of billing fraud
- Malicious content: upload viruses, malware, ransomware, or any harmful code; transmit spam, phishing, or unsolicited communications
- Interference: disrupt, degrade, or interfere with the Platform's infrastructure, performance, or availability, including through denial-of-service attacks or excessive automated requests
- Reverse engineering: decompile, disassemble, reverse-engineer, or attempt to extract source code from the Platform
- Impersonation: impersonate any person, business, or entity, or misrepresent your affiliation or authority
- Illegal purposes: use the Platform in violation of any applicable local, provincial, federal, or international law or regulation
- Intellectual property infringement: upload content that infringes on the copyrights, trademarks, patents, or other intellectual property rights of any third party
- Harassment: use the Platform to harass, threaten, defame, or discriminate against any person
4. QR Code Integrity
FieldCore QR codes are the property of 2616232 Alberta Inc. Users shall not:
- Reproduce, duplicate, or create counterfeit QR codes
- Modify, obscure, or tamper with QR codes affixed to equipment or job sites
- Redirect QR code links to unauthorized destinations
- Use QR codes for purposes other than their intended FieldCore function
5. Data Accuracy
Users are responsible for ensuring the accuracy and completeness of data they enter into the Platform. This includes work order descriptions, time entries, service notes, and uploaded documentation. Deliberately entering false or misleading information constitutes a violation of this AUP.
6. Security Obligations
All users must:
- Use strong, unique passwords for their Platform accounts
- Not share account credentials with unauthorized individuals
- Report any suspected security vulnerabilities, breaches, or unauthorized access immediately
- Keep their devices and browsers up to date with current security patches
- Log out of the Platform when using shared or public devices
7. Resource Usage
Users shall not consume excessive Platform resources in a manner that degrades performance for other users. This includes but is not limited to: excessive API calls, bulk data uploads without authorization, or running automated scripts against the Platform without prior written approval.
8. Enforcement
Violations of this AUP may result in one or more of the following actions, at the Company's sole discretion:
- Written warning
- Temporary suspension of Platform access
- Permanent termination of account
- Removal of offending content or data
- Reporting to law enforcement authorities
- Legal action to recover damages or obtain injunctive relief
The Company reserves the right to investigate suspected violations and to cooperate with law enforcement authorities in prosecuting users who violate this AUP or any applicable law.
9. Reporting Violations
If you become aware of any violation of this AUP, please report it to us promptly. Reports can be submitted through the Platform or by contacting us using the information in our Terms and Conditions.
10. Changes to This Policy
We may modify this AUP at any time. Changes will be effective upon posting to the Platform. Continued use of the Platform after changes are posted constitutes acceptance of the revised AUP.
